Terms and Conditions

• "Agreement" means these Terms and Conditions, together with any Service-specific terms, quotations, statements of work (SOWs), or order forms agreed between You and EsJay IT.
• "Confidential Information" means non-public business, technical, or financial information disclosed by either party.
• "Subscription" means a recurring, paid right to access a Product (e.g., CreditLive, Metabill, TimeHR, METABILLPOS) for a defined billing cycle.
• "Content" means data, records, files, and information You upload, enter, or store within a Product.

EsJay IT Solutions provides:

• Software Products: CreditLive (co-operative society management), Metabill (billing, accounting & GST), TimeHR (HR & payroll), and METABILLPOS solutions for food, restaurant, and retail businesses, SMSSAGA (SMS Services) — offered on a subscription/licensing basis.
• Custom Software Development: bespoke applications built to a client's specifications under a separate SOW/quotation.
• IT Consultancy and Business Automation Services.
• Web and App Development, UI/UX Design, and SEO/Digital Visibility Services.

Where a specific Product or Service has its own terms of use, license agreement, or SOW, those specific terms will govern in case of conflict with these general Terms, but only to the extent of the conflict.

• You are responsible for maintaining the confidentiality of any login credentials issued for a Product and for all activity under Your account.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You must notify us immediately at info@esjayit.com of any unauthorized use of Your account.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

Subject to Your compliance with these Terms and payment of applicable fees, we grant You a limited, non-exclusive, non-transferable, revocable license to use our Products for Your internal business purposes only.

You agree that You shall not:

• Copy, resell, sub-license, rent, or lease any Product or Service to a third party without our prior written consent.
• Reverse engineer, decompile, or disassemble any Product, except where permitted by applicable law.
• Use the Products/Services for any unlawful purpose, or to transmit malicious code, spam, or infringing content.
• Attempt to gain unauthorized access to our systems, other users' data, or our infrastructure.
• Remove or alter any proprietary notices, trademarks, or branding from the Products.

• Fees for Products and Services are as quoted on our Website, in a proposal, or in an SOW, and are exclusive of applicable taxes unless stated otherwise.
• Invoices are payable within the period specified on the invoice (default: 15 days from the invoice date, unless otherwise agreed in writing).
• We reserve the right to suspend access to a Product or pause ongoing Services for overdue payments, after providing reasonable notice.
• All fees, once paid, are non-refundable.
• Late payments may attract interest and/or a service suspension, at our discretion, as communicated in the relevant invoice/agreement.

• All intellectual property in our Products, Website, source code, documentation, trademarks (including "EsJay IT," "CreditLive," "Metabill," "TimeHR," "METABILLPOS," "SMSSAGA"), and branding is owned by EsJay IT Solutions Pvt. Ltd. or its licensors.
• For custom development engagements, ownership of deliverables will be governed by the specific SOW/agreement signed with the client in the absence of such an agreement, EsJay IT retains ownership of all underlying frameworks, tools, and pre-existing IP used to build the deliverable.
• You retain all rights to Your own Content uploaded into our Products. We do not claim ownership of Your business data.

• We take reasonable technical and organizational measures to protect Content and personal data stored in our Products.
• We will not disclose Your Confidential Information or Content to third parties except (a) with Your consent, (b) to sub-processors/vendors bound by confidentiality obligations who assist us in delivering the Service, (c) where required by law, or (d) as necessary to enforce these Terms.
• You are responsible for the accuracy and legality of the Content You upload, and for obtaining any consents required from Your own end users before entering their data into our Products.
• For details on how we collect and use personal data, please refer to our Privacy Policy.

Our Website and Products may contain links to, or integrate with, third-party websites or services (including payment processors, SMS/email gateways, or cloud hosting providers). We are not responsible for the content, privacy practices, or terms of such third parties. Use of any third-party service is subject to that party's own terms.

This section specifically governs any payment You make to EsJay IT Solutions through an online payment gateway on our Website or within our Products (e.g., for Subscriptions, invoices, or one-time Service fees) ("Online Payments").

Online Payments are processed through a third-party, RBI-authorized payment gateway/aggregator ("Payment Partner") EsJay IT does not itself store Your full card, UPI PIN, net-banking credentials, or other sensitive payment authentication data these are collected and processed directly and securely by our Payment Partner in compliance with applicable RBI guidelines and PCI-DSS standards.

You agree to provide accurate, current, and complete billing and payment information. You are responsible for ensuring sufficient funds/limits are available for the transaction.

Unless stated otherwise, all Online Payments are processed in Indian Rupees (INR). Applicable taxes (GST or other government levies) will be added to the displayed amount at checkout, where applicable.

In case of a failed transaction where the amount has been debited from Your account but not reflected as a successful payment with us, the amount is typically auto-reversed by Your bank/Payment Partner within their standard timelines (usually 5–7 business days).

If a refund for a failed/duplicate transaction is not auto-processed within a reasonable time, please contact us at info@esjayit.com with the transaction reference for assistance in coordinating with our Payment Partner.

EsJay IT is not liable for delays caused by banks, card networks, UPI apps, or the Payment Partner that are outside our reasonable control.

We use industry-standard encryption (e.g., SSL/TLS) for data transmitted through our Website and payment pages. However, no method of electronic transmission or storage is 100% secure, and while we strive to protect Your information, we cannot guarantee absolute security.

We reserve the right to refuse, delay, cancel, or reverse any transaction that we, in good faith, believe to be fraudulent, unauthorized, or in violation of these Terms, and to report such activity to relevant authorities or our Payment Partner.

In the event of an unauthorized or disputed chargeback raised through Your bank/card issuer, We reserve the right to suspend Your account/access to the Product(s) until the dispute is resolved and, where the chargeback is found to be invalid or fraudulent, to pursue recovery of the amount and reasonable costs incurred.

EsJay IT is a recipient of payment services and is not a bank or payment aggregator. We are not responsible for outages, errors, or data handling of the Payment Partner's systems, though we will make reasonable efforts to assist You in resolving payment-related issues.

• Subscriptions / Mandate for CreditLive, Metabill, TimeHR, or METABILLPOS products are billed on the cycle selected at signup (e.g., monthly/annually).
• We will make reasonable efforts to notify You in advance of a price change or upcoming renewal, where required by applicable law.
• You may cancel auto-renewal in Mandate at any time by writing to info@esjayit.com at least 7 days before the renewal date with payment Gateway Policy through.

• Subscriptions: Fees already paid for the current billing cycle are non-refundable, except where required by law or expressly agreed in writing (e.g., a documented service failure attributable to us).
• Erroneous/Duplicate Payments: Genuine duplicate charges or payments made in error will be refunded to the original payment method within 15 business days of verification if Payment Gateway confirms duplicate payments.
• To request a refund, contact info@esjayit.com with your order/invoice/transaction reference.

Our Products and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, EsJay IT disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Products will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, EsJay IT Solutions Pvt. Ltd., its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from Your use of (or inability to use) our Website, Products, or Services including any Online Payment issue even if we have been advised of the possibility of such damages.

Nothing in this section limits liability where such limitation is not permitted under applicable Indian law.

You agree to indemnify and hold harmless EsJay IT Solutions Pvt. Ltd. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your breach of these Terms, misuse of the Products/Services, or violation of any law or third-party right.

We may suspend or terminate Your access to any Product or Service, with or without notice, for breach of these Terms, non-payment, fraudulent activity, or misuse.

You may terminate a Subscription as described in Section 10.

Upon termination, Your right to access the relevant Product ceases provisions relating to IP, confidentiality, payment obligations, disclaimers, and limitation of liability shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of India. Subject to any specific dispute-resolution clause agreed in an SOW, the courts at Rajkot, Gujarat shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.

We may update or modify these Terms from time to time to reflect changes in our Products, Services, or legal requirements. The date at the top of this page will reflect the most recent revision. Continued use of our Website, Products, or Services after changes take effect constitutes acceptance of the revised Terms.
